THE NOMINATION, COMPENSATION, HR & GOVERNANCE COMMITTEE
The responsibilities of the committee include:
⦁ To insure the appropriate composition of the Board
⦁ To insure Independency of the Directors
⦁ Selection, remuneration decisions and appointment of Directors (including new Directors) and senior management
⦁ Succession planning for Directors and senior management
⦁ Reviewing the performances of the Board, Board committees, individual Directors and senior management, as well as adopting and monitoring action plans arising from the assessments
⦁ Drafting remuneration policies for senior management and the Board, and the Bank’s remuneration and incentive plans
⦁ Developing the Bank’s corporate governance framework,policies, and procedures
⦁ Compliance with regulatory requirements relating to corporate governance
⦁ Disclosure, transparency and publication of corporate governance information
⦁ Ensuring the implementation of the Bank’s corporate culture and values.
